Salt Lake City, Utah – November 5, 2026
Horn Silver Mines, Inc. (“Horn Silver” or the “Corporation”) announced today that its Board of Directors has declared a special cash dividend of $0.18 per share (the “Special Dividend”) on the Corporation’s common stock, payable to shareholders of record as of November 10, 2026 (the “Record Date”).
At a shareholder meeting held on January 10, 2025, the shareholders authorized the Board to wind down and discontinue the operations of the Corporation, sell the assets, and distribute the cash by payment of a dividend or other distribution, and/or merge with or be acquired by another corporation.
Pursuant to these directives, Horn Silver completed a sale of a portion of its mining claims to Antler Resources Inc., a U.S. subsidiary of Diablo Resources Limited, an Australian mineral exploration company.
The Board of Directors reviewed the financial position of the Corporation, including its assets, liabilities, and capital requirements, and concluded that the Special Dividend was in the best interests of the Corporation and its shareholders.
The Special Dividend will be paid to shareholders of record as of the close of business on the Record Date. The Special Dividend is expected to be paid on or around December 10, 2026.
Shareholders who hold shares through a broker will have the Special Dividend credited to their brokerage account. Registered shareholders with questions about their holdings, address changes, direct deposit, or other related matters should contact the Corporation’s transfer agent:

Cautionary Note Regarding Forward-Looking Statements
This announcement contains forward-looking statements, which are statements about future events rather than historical facts. They include statements about the expected payment date and final amount of the Special Dividend; the Corporation’s plans to wind down its operations and sell its remaining assets, including its remaining mining claims; whether, when and in what amount any further distribution may be made; and the tax treatment of the Special Dividend. Words such as “will,” “expect,” “intend,” “plan” and “may” identify forward-looking statements, but not every forward-looking statement contains them.
These statements reflect the Board’s current expectations, based on information available as of the date of this announcement. They are not guarantees, and actual results may differ materially. Factors that could cause such differences include:
(a) delays in processing the payment by the Corporation’s transfer agent, or difficulty locating shareholders of record, which may result in amounts being delivered to the states under unclaimed-property (escheatment) laws;
(b) the final number of shares outstanding on the Record Date;
(c) whether, when and at what price the Corporation sells its remaining mining claims and other assets, which may bring less than expected or may not occur;
(d) the costs of winding down the Corporation, including legal, accounting, transfer-agent and tax expenses, which may be higher than expected;
(e) known, unknown or contingent liabilities, including claims, taxes and any environmental or reclamation obligations relating to the Corporation’s properties, which must be paid or reserved for before any further distribution;
(f) legal limits on distributions under the Utah Revised Business Corporation Act; and
(g) changes in tax law, or in how taxing authorities treat the Corporation’s distributions.
The Corporation can give no assurance that it will make any distribution in addition to the Special Dividend, or of the amount or timing of any such distribution. Readers should not place undue reliance on forward-looking statements, which speak only as of the date of this announcement. The Corporation has no obligation to update them, except as required by law.
Tax Matters. The Corporation does not provide tax advice. Depending on the Corporation’s earnings and profits and on each shareholder’s own circumstances, the Special Dividend may be treated for tax purposes as an ordinary dividend, a return of capital or a liquidating distribution. Shareholders should consult their own tax advisors.
